American investment firm Stonepeak has completed the acquisition of US-based Air Transport Services Group, owner of ABX Air, ATI - Air Transport International, and Omni Air International, in an all-cash transaction first announced in November 2024, and with an enterprise valuation of approximately USD3.1 billion.

The acquisition received approval from ATSG’s stockholders on February 10, 2025. With the completion of the transaction, ATSG’s common shares have ceased trading and will no longer be listed on the Nasdaq. Holders of ATSG’s common shares will receive USD22.50 per share in cash, a premium of nearly 30% over the company's closing share price before the announcement of the purchase.

ATSG is set to continue operating under its existing brand, now as a wholly-owned subsidiary of Stonepeak.

In 2024, ATSG saw revenues of nearly USD2 billion and a net profit of USD27.4 million, according to the company’s full-year financial results. It closed the year with a fleet of 167 aircraft, including 147 freighters and 20 passenger planes.

Besides the three cargo carriers, ATSG also owns leasing company Cargo Aircraft Management, bundled services provider Airborne Global Solutions, training firm Airborne Training Services, MRO Airborne Maintenance & Engineering Services, and PEMCO Conversions.

The ch-aviation fleets module shows ABX Air operates 36 aircraft: two B767-200(BDSF)s, eight B767-200(SF)s, five B767-300ER(BCF)s, and twenty-one B767-300ER(BDSF)s. ATI operates 50 aircraft: four B757-200(C)s, one B767-200(BDSF), two B767-200(SF)s, three B767-300ER(BCF)s, and forty B767-300ER(BDSF)s. Finally, Omni Air has 14 aircraft: three B767-200(ER)s, eight B767-300ERs, and three B777-200ERs.
